Terms of Use

1. Who may use the Site

The Site is intended for users who are at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872. If you use the Site on behalf of a business, you represent that you have authority to bind that business.

Unless otherwise stated, text, graphics, photographs, layouts, logos (other than third-party brand marks shown for informational purposes), and other materials on the Site are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws in India and elsewhere. Third-party brand names and logos remain the property of their respective owners and are used to identify products we may supply or demonstrate. No licence to use our or any third party’s marks is granted except as necessary to view the Site in a normal browser.

Descriptions, imagery, specifications, and pricing information on the Site are provided for general information and may be updated without notice. They do not constitute an offer capable of acceptance until confirmed in writing (including email) according to our usual business practice. Product availability, finishes, and performance depend on manufacturer supply and your specific project; final terms appear in quotations, invoices, or written agreements.

Nothing on the Site is technical, acoustic, legal, or financial advice; you should rely on your own professional advisers for decisions suited to your situation.

5. Appointments, enquiries, and contracts

Booking or enquiry tools on the Site (including links to email, telephone, or messaging apps) help you reach us; they do not by themselves form a binding contract for the supply of goods or services. A contract arises only when we confirm an order or engagement in line with our standard documentation and applicable law. Separate terms of sale, delivery, installation, warranty, and payment may apply to specific transactions and will be communicated to you before or at the time of commitment where required.

The Site may link to third-party websites, maps, or social platforms. We do not control those services. Your use of third-party sites is subject to their terms and privacy policies. We are not responsible for their content or practices.

7. Disclaimer of warranties

To the fullest extent permitted by applicable law in India, the Site and its content are provided on an “as is” and “as available” basis. We disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not legally permissible.

8. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from your use of or inability to use the Site.

Our aggregate liability for any claim arising out of or relating to these Terms or the Site (other than liability that cannot be limited under applicable law, including certain obligations under the Consumer Protection Act, 2019) shall not exceed the amount you paid us specifically for access to digital content on the Site in the twelve (12) months preceding the claim, or Indian Rupees five thousand (₹5,000), whichever is greater. Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the minimum extent permitted.

Nothing in these Terms limits any statutory rights you may have as a consumer under Indian law that cannot lawfully be waived.

9. Indemnity

You agree to indemnify and hold harmless Standard Portfolios Private Limited, its directors, officers, and employees from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Site, breach of these Terms, or violation of applicable law, except to the extent caused by our wilful misconduct or gross negligence as finally determined by a competent court or authority in India.

10. Suspension and termination

We may suspend or restrict access to the Site where we reasonably believe there is a breach of these Terms, a security risk, or a legal requirement. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability to the extent enforceable, indemnity, and governing law) will survive termination.

11. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to mandatory provisions on consumer disputes, you agree that the courts at New Delhi, India shall have exclusive jurisdiction over any dispute arising from these Terms or the Site. Consumers may also have the right to pursue remedies before consumer commissions or other forums as provided under Indian law.

12. Changes

We may modify these Terms by posting an updated version on the Site and revising the “Last updated” date. Material changes may be highlighted on the Site where practicable. Continued use of the Site after changes constitutes acceptance of the revised Terms where permitted by law. If you do not agree, you should stop using the Site.

13. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding use of the Site (excluding separate written contracts for specific purchases or services).
